    Sachin Bansal-led fintech company Navi has raised $100 million from global technology investor Prosus in its first institutional funding round, as the company prepares for a potential return to the public markets.

    The investment marks a significant milestone for Navi, which has largely been funded by its founder since its inception. The latest funding round also comes at a crucial time for the fintech, with reports indicating that Navi is reviving its plans for an initial public offering (IPO).

    The $100 million investment from Prosus is subject to customary closing conditions and regulatory approvals, including clearance from the Competition Commission of India (CCI). Navi has not disclosed the valuation at which the investment is being made, the stake that Prosus will acquire or the specific deployment plan for the capital.

    Navi’s First Institutional Funding Round

    The Prosus investment is notable because it is the first institutional capital raised by Navi since the fintech was founded in 2018 by Flipkart co-founder Sachin Bansal and Ankit Agarwal.

    Unlike many venture-backed startups that raise multiple rounds from institutional investors, Navi has historically relied heavily on capital from Bansal. The new investment therefore gives Navi not only fresh capital but also a marquee institutional investor ahead of its potential IPO.

    Prosus said its decision to invest was driven by Navi’s large user base, multiple financial-services businesses, technology-first approach and focus on consumer experience. The investor also said Navi had executed strongly over the previous 12 months despite a challenging macroeconomic environment.

    For Bansal, the investment has a longer association as well. He said his relationship with Naspers and the Prosus group goes back more than a decade and described the investment as an endorsement of the institution Navi is building.

    Navi Valuation Reportedly at $1.3 Billion

    While Navi has not officially disclosed its valuation, reports citing people familiar with the transaction have put the company’s valuation at approximately $1.3 billion following the Prosus investment.

    That figure is particularly interesting because Navi had reportedly been looking to raise external capital at a valuation of around $2 billion in 2024.

    The reported $1.3 billion valuation therefore represents a substantial difference from the valuation Navi had previously sought. However, the company has not publicly confirmed the valuation attached to the Prosus transaction, so the figure should be treated as a reported estimate rather than an officially disclosed valuation.

    The new external funding also gives Navi an important reference point for its upcoming IPO journey, particularly after years of being primarily backed by its founder.

    Navi’s IPO Plans Gain Momentum

    The Prosus investment comes as Navi is reportedly preparing to revive its IPO plans.

    According to reports, Navi could look to refile its draft IPO documents with the Securities and Exchange Board of India (SEBI) by December 2026. The proposed public issue is expected to be around ₹3,000 crore, although the final size and structure have not been confirmed.

    Navi’s potential IPO would represent its second attempt to access the public markets.

    The company had filed draft papers with SEBI in 2022 for a proposed ₹3,350-crore IPO. However, it subsequently shelved the plan as market conditions deteriorated and technology and startup valuations came under pressure. TechCrunch reported that the earlier proposed IPO was worth about $440 million.

    The company is now reportedly working with JM Financial, Kotak Mahindra Capital, Goldman Sachs and JPMorgan as advisers for its proposed listing.

    What Does Navi Do?

    Founded in 2018, Navi has built a technology-led financial services platform covering several consumer finance categories.

    Its businesses include:

    • Digital payments through UPI
    • Consumer lending
    • Insurance
    • Mutual funds and investments

    The company’s strategy has been to bring multiple financial products together through a digital-first platform.

    Navi is also one of India’s significant UPI apps. According to data cited by TechCrunch, Navi processed more than 947 million UPI transactions worth ₹48,318 crore in July 2026, making it the country’s fourth-largest UPI app by transaction volume, behind PhonePe, Google Pay and Paytm.

    Navi’s lending business has also continued to expand. Its NBFC arm, Navi Finserv, had assets under management of more than ₹13,000 crore, according to company disclosures cited in recent reports.

    Navi Reports Mixed Financial Performance

    The funding announcement comes against the backdrop of a mixed financial performance.

    Navi reported revenue of approximately ₹3,091 crore for FY26, according to TechCrunch, while its net loss stood at around ₹466 crore. The company, however, said it achieved consolidated profitability in the fourth quarter of FY26.

    The performance of Navi Finserv was comparatively stronger on a standalone basis. Its standalone net profit increased 32% year-on-year to ₹292.2 crore in FY26, while operating revenue rose 8% to ₹2,461 crore, according to Inc42.

    At the consolidated level, however, Navi Finserv’s net profit declined 46% to ₹93.3 crore, even as operating revenue increased 17% to ₹2,691.5 crore.

    The numbers highlight the balance Navi will need to strike between growth, profitability and risk management as it moves closer to a potential public listing.

    Prosus Investment Comes at an Important Time

    The choice of Prosus as Navi’s first institutional investor could prove strategically important.

    Prosus has extensive experience investing in technology and consumer internet businesses globally, including fintech and payments. Its investment provides Navi with an internationally recognised institutional name on its shareholder base at a time when the company is preparing for a potential IPO.

    For Navi, the timing is equally significant.

    The fintech is transitioning from a founder-funded growth story to one that is beginning to attract institutional capital. That shift could give public-market investors an additional reference point when assessing Navi’s business, financial performance and valuation.

    However, the investment does not automatically guarantee that Navi’s IPO will proceed on the reported timeline.

    The proposed transaction itself still requires regulatory clearances, while Navi’s IPO plans remain subject to market conditions and regulatory processes.

    Sachin Bansal’s Role at Navi

    Navi represents Sachin Bansal’s second major entrepreneurial chapter after Flipkart.

    Bansal co-founded Flipkart with Binny Bansal in 2007 and later exited the company after Walmart agreed to acquire a majority stake in the ecommerce company.

    He founded Navi in 2018 and invested substantial personal capital into building the fintech. Bansal had previously expressed an ambition to build Navi into a broader financial institution and eventually a bank.

    In February 2025, Bansal stepped down as CEO of Navi Technologies and moved into the role of Executive Chairman of the Navi Group. Rajiv Naresh became CEO of Navi Technologies, while Abhishek Dwivedi took over as CEO of Navi Finserv.

    What the $100 Million Prosus Investment Means for Navi

    The latest funding round could have three major implications for Navi.

    First, it brings institutional validation. Prosus’ investment gives Navi an experienced global technology investor as it enters its next phase of growth.

    Second, it provides external valuation discovery. For years, Navi was largely funded by Bansal. The Prosus transaction introduces an institutional investor and a reported market valuation, although Navi itself has not confirmed the $1.3 billion figure.

    Third, it strengthens Navi’s position ahead of a potential IPO. A marquee investor and fresh capital could help the company demonstrate institutional backing as it prepares to approach public-market investors.

    What Happens Next for Navi?

    The immediate priority is completing the regulatory requirements associated with the Prosus investment, including CCI clearance.

    Beyond that, the market will closely watch whether Navi formally revives its IPO process and files fresh draft papers with SEBI.

    If the reported plans materialise, Navi could target an IPO of around ₹3,000 crore, potentially making its return to the public markets one of the more closely watched fintech IPO stories in India.

    For now, the $100 million Prosus investment is the clearest indication yet that Navi is entering a new phase – one that could eventually take Sachin Bansal’s fintech from a largely founder-funded business to a publicly listed financial-services company.

    Note: Navi has not officially disclosed the valuation, stake sold to Prosus, deployment of funds or final IPO terms. Reported valuation and IPO timelines should therefore be treated as indicative until formally announced by the company or disclosed through regulatory filings.
