    The Securities and Exchange Board of India (SEBI) has proposed stricter advertising rules for Online Bond Platform Providers (OBPPs). The regulator aims to curb misleading return claims, FOMO-driven marketing and certain influencer-led promotions that could push retail investors to act without fully understanding the risks.

    The proposed framework focuses particularly on advertising across digital platforms and social media. SEBI wants online bond platforms to provide clearer information instead of relying heavily on promotional language or urgency-driven messaging.

    Under the proposal, terms such as “high yield,” “high rated,” and “high returns” would face tighter restrictions. Platforms would need to provide sufficient context rather than use such phrases as standalone promotional claims.

    SEBI has invited public comments on the proposals until September 11, 2026.

    What SEBI Is Proposing

    • Restrictions on FOMO and urgency-driven marketing for online bond products.
    • Tighter controls on terms such as “high yield,” “high rated,” and “high returns.”
    • More detailed risk and security disclosures in bond advertisements.
    • Greater scrutiny of influencer and social media promotions involving bond products.
    • Public comments on the consultation paper are invited until September 11, 2026.

    SEBI Targets FOMO-Driven Bond Marketing

    A major focus of the proposed framework is the way online platforms create urgency around bond investments.

    SEBI has raised concerns over advertisements that use FOMO, behavioural prompts or urgency-based messaging. Such marketing can encourage investors to make quick decisions without carrying out adequate due diligence.

    As a result, online bond platforms could face stricter limits on promotional communication designed to create artificial urgency.

    The regulator is also scrutinising claims around returns. For example, advertisements should not create an impression of assured or fixed returns when the underlying investment does not support such a representation.

    Through these proposed changes, SEBI aims to make bond advertising more factual and transparent.

    Bond Advertisements May Require More Disclosures

    SEBI has also proposed standardised disclosures for advertisements featuring specific securities.

    Under the proposed framework, such advertisements may need to display information including the issuer’s name, tenor, credit rating, nature of the security, clean price, dirty price, and yield to maturity. A Credit Risk-o-meter would also form part of the disclosure requirements.

    These details could give investors more context before they make an investment decision. Moreover, the framework would reduce the scope for advertisements to highlight potential returns while giving less prominence to risk.

    The proposed rules also address the presentation of yields. Platforms would need to ensure that return-related information appears with appropriate context and does not mislead investors.

    Influencer Promotions Come Under Greater Scrutiny

    The proposed advertising framework also addresses the growing role of social media and influencers in financial promotions.

    Digital creators can significantly influence investment decisions, particularly among younger retail investors. Consequently, SEBI is looking to strengthen safeguards around how online bond products are promoted through these channels.

    The proposals maintain restrictions around celebrity endorsements and seek tighter oversight of promotional activity involving influencers. Online bond platforms would therefore need to ensure that their marketing partnerships comply with applicable securities-market rules.

    The move reflects SEBI’s broader efforts to address misleading financial content online. As investment products gain visibility through social media, regulators are paying closer attention to the difference between financial education and promotional communication.

    What SEBI’s Proposal Could Mean for Online Bond Platforms

    If implemented, the revised advertising framework could change how OBPPs market bonds to retail investors.

    Platforms may need to move away from catchy return-focused promotions. Instead, they could have to give greater prominence to credit ratings, risks, pricing, and other security-specific information.

    For marketers, the proposal could also require greater caution when designing campaigns around investment products. Social media posts, digital advertisements, and influencer collaborations may need stronger compliance checks before publication.

    However, the proposals are currently part of a consultation process. Therefore, the final framework may change after SEBI reviews feedback from market participants and other stakeholders.

    SEBI’s move comes as online platforms play an increasingly important role in making bonds accessible to retail investors. At the same time, the regulator is seeking to ensure that increased access does not come at the cost of transparent communication and informed decision-making.

    If adopted, the proposed rules could push India’s online bond marketing ecosystem towards clearer disclosures, less urgency-driven advertising and more responsible financial promotions.
